Summary
Working with the corporate secretary, subsidiary directors and key senior executives, assists, supports and coordinates all aspects of shareholder, member, board, and committee meetings and associated records for a number of USAA companies and affiliated entities. Manages, coordinates and implements proxy and registration process for shareholder/member meetings. Ensures compliance with various registration and licensing requirements for a number of USAA companies and affiliated entities.
Responsibilities
* Coordinates, plans, and organizes board, committee and member meetings to include logistics, drafting agendas, minutes, and documentation. Determines applicability of, and ensures compliance with requirements of all applicable organizational documents. Performs analysis, research, and coordination for formal memoranda, resolutions, and consents for approval. Maintains records as legally required. * Performs corporate secretarial support to include analyzing regulatory notices and publications, addressing changes in requirements, and initiating actions to be taken by a number of USAA companies and affiliated entities. * Manages regulatory filings necessary to maintain company registration or compliance as required by federal or state agencies for a number of USAA companies or affiliated entities. Prepares and coordinates such filings. Manages and monitors the progress of each filing, provides information and maintains appropriate records. * Researches and responds to internal and external requests for information including company registration, licensing, and other corporate actions. Works with members, external regulators, examiners, auditors and other third parties to identify and produce requested materials or information. Substantiates appropriateness of requests. * Participates in various special projects assigned by General Counsel executive management.
Ideal Candidate
**Minimum Requirements** * Bachelor's degree or equivalent work experience. * Five years experience coordinating executive meetings or related work experience. * Must be proficient in Microsoft Office products. **Preferred** * Experience working in or around a legal or corporate environment. * Understanding of contracts and other corporate documents. * Understanding of corporate structures and/or affiliate relationships. * Ability to think intuitively and critically with minimal direction. * Ability to communicate clearly both orally and in writing. * Project management, process, quality assurance, and/or internal/external audit experience a plus.
