This is an excellent opportunity for a Paralegal with a minimum of 5 years of experience working with corporate and transnational matters. Position includes assisting Corporate Counsel in all stages of corporate transactions and with the preparation of documents necessary to conducting business. In-house experience preferred. This position is based in our corporate office in Jacksonville, Florida.
Responsibilities
* Draft various agreements, correspondence, and other legal documents * Assist attorneys in the preparation and filing of UCC financing statements as well as handle UCC search requests in all states * Assist with corporate finance transactions, and mergers and acquisitions including but not limited to working with attorneys to prepare all documents required to form corporations, partnerships, and limited liability companies in any state * Prepare amendments, withdrawals, mergers and dissolution of corporations, partnerships, or limited liability companies, and submit M&A transmittal letters * Assist with the completion of stock certificates * Assemble final closing documents and maintain file organization (physical and electronic) * Act as an information source on organization policies and procedures, and updates policies as requested * Review and ensure the company's compliance with regulations * Entity corporate management/maintenance for all domestic and foreign subsidiaries, including entity formation, foreign qualifications, dissolution, name registrations, maintenance of corporate minute books, stock records, and updated lists of directors and officers of all entities * Attend board meetings and interact with board members * Prepare, gather and upload board materials * Prepare meeting minutes * Draft Proxy Statement and handle all aspects of annual meetings * Prepare documents for the authorization of a variety of corporate actions including drafting of resolutions, minutes, director and shareholder consents, stock certificates, secretary’s certificates, checklists, POAs, and bank and other supporting documents * Prepare and file annual reports in states and countries where the company’s subsidiaries are incorporated and/or qualified to do business * Communicate regularly with attorneys regarding the status of projects and deadlines, and inform attorneys of any issues * Preparing SEC filings, including initial preparation of Forms 4 and 5, 8-Ks, press releases and assist in complying with NASDAQ reporting requirements * Assist in general as needed and with corporate work * Provide general administrative support and work on special projects as needed * Research and respond to regulatory inquiries and investigations * Interact with auditors and finance team * Perform other tasks as requested.

**Requirements:** * Exceptional written and oral interpersonal communication skills * Strong organizational and project management skills; * Knowledge of stock equity * Demonstrated ability to apply knowledge of laws and regulations to legal matters * Ability to interface effectively with all levels of the organization and capable of escalating issues effectively to senior business management as needed * Strong analytical and problem solving skills with strong ability to demonstrate sound judgment even in ambiguous situations * Exceptional drafting and negotiation skills along with excellent business judgment and strategic thinking * Hardworking, well organized, and able to manage numerous projects simultaneously under deadline pressure * Ability to thrive in a fast-paced, entrepreneurial, highly collaborative team environment * Ability to work independently while being able to contribute successfully to cross-functional teams * Excellent spelling, grammar, punctuation and editing * Commitment to professionalism and collegiality * Common sense, great judgment, and ethics * Fluency in oral and written English; fluency in Spanish is desirable but not required **Qualifications** * High level proficiency in Microsoft Suite * Excellent written and oral communication skills required * Must be able to proofread, edit, and compose letters and other documents * Strong organizational skills and ability to prioritize and multi-task * Solid interpersonal and teamwork skills * Ability to work independently with minimal supervision * Ability to work in a fast-paced and challenging environment * Desire to learn and develop new skills * Strong follow-up skills and attention to detail * Basic knowledge of contract negotiations highly desirable * Minimum of 5 years’ experience as a corporate paralegal in a law firm or law firm; in-house experience preferred * College degree or paralegal degree/certificate required
