Summary
The Chief Financial Officer (CFO) is responsible for the financial well-being of the company and has primary day-to-day responsibility for the administrative, financial and risk management operations of the company, to include the development of financial and operational strategy, metrics tied to that strategy, and the ongoing development and monitoring of control systems designed to preserve the company’s assets and report accurate financial results.
Responsibilities
**Principal Duties and Responsibilities :** **Planning** * Assist in formulating the company's future strategic direction and supporting tactical initiatives * Monitor and direct the implementation of strategic business plans * Develop financial and tax strategies * Manage the capital request and budgeting processes * Develop performance measures that support the company's strategic direction **Operations** * Participate in key decisions as a member of the senior leadership team (SLT) * Maintain in-depth relations with all members of the SLT * Manage the accounting, investor relations, tax, and treasury functions * Oversee the financial operations of all subsidiary and related operations * Oversee the company's financial systems * Implement operational best practices, including rigorous and continuous cost improvement * Supervise assigned acquisition due diligence matters and participate in acquisition negotiations **Financial Information** * Oversee the issuance of financial information * Provide high-impact analysis and insights regarding financial information * Personally review and approve all regulatory filings * Report financial results to the SLT and board of directors **Risk Management** * Understand and mitigate key elements of the company's risk profile * Ensure reliable control systems are in place and actively monitored * Maintain appropriate insurance coverage * Ensure that record keeping meets the requirements of auditors and government agencies * Report risk issues to the CEO and board of directors * Maintain relations with external auditors and promptly investigate their findings and recommendations **Capital Markets, M&A and Funding** * Monitor cash balances, cash forecasts and liquidity analysis * Partner closely with parent company on various projects, including M&A, tax structuring, equity capital raises and debt financing * Lead debt capital raising efforts including negotiate credit agreements with lenders and monitoring opportunities to reduce the company's cost of capital * Lead M&A diligence efforts * Engage with parent company on significant tax structuring efforts to minimize tax exposure to shareholders * Maintain banking relationships * Present Company to capital markets participants and manage investor relationships. Experience preparing a company for IPO is a plus but not essential.
Ideal Candidate
**Desired Qualifications :** * MBA or Masters’ degree plus a minimum of 10+ years’ experience in finance in a global high growth, technology-focused business, or equivalent combination of education and experience. * Strong leadership and managerial skills. * Experience with large scale refinancing, including public debt. * Experience raising capital from PE firms or IPO/public company experience. * Experience with multinational tax planning and tax structural experience. * Strong and effective negotiation skills and expertise. * Demonstrated experience in partnering with an executive team and have excellent written and oral communication skills, including presentation skills * Strong quantitative analysis skills. * Proven ability to work effectively across company and geographical boundaries to deliver results. * Track record of success working and influencing a fast-paced, matrixed organization at all levels, being persuasive and effective. * Strong interpersonal skills, with ability to professionally interact with a diverse blend of personalities to reach resolution and maintain strong relationships. **Other Important Information :** * This position is located in Ann Arbor, MI; possibility for this position to be in NYC (with high travel expectations for first 18 months). * Frequent travel will be required – up to 40%. * This position requires weekday (Monday - Friday) attendance with some scheduling flexibility available around core working hours. * Every position requires certain physical capabilities.
