- Equity Plan Management
- Stay abreast of changes in tax and legislative environment in all countries and jurisdictions where Celgene has or will have employees, ensure that plans are competitive and compliant
- Provide subject-matter expertise and recommendations, related to both existing equity programs and in the ongoing build-out of Celgene’s global workforce
- Manage relationship with stock plan administration vendor, E*TRADE
- Manage life-cycle of implementing new types of plans and/or equity programs in new markets/countries
- Champion improvements with regard to the process and be primary point of contact both internally and externally for training and awareness of proper and efficient processing
- Respond to ad hoc requests for analysis
- Executive Compensation
- Manage the administration of Celgene’s executive Long-Term Incentive Plan & Deferred Compensation Plan
- Assist with preparation and coordination of materials for Compensation Committee Meetings, including supporting documentation
- Act as Project Manager for the Proxy CD&A and Compensation tables, ensuring proper collection and preparation of data, managing timelines and deliverables on behalf of the compensation team.
- Model financial impact of compensation programs including, stock ownership levels, share utilization and provide recommendations on process enhancement.
- Interface with non-employee directors, Section 16 officers and external brokers relative to trade clearance, trade processing outside of the E*TRADE platform, share transfers
- Maintain beneficial ownership table throughout year and create beneficial ownership table for Proxy and individual ownership summaries for D&O questionnaires.
- Research and understand latest developments and best practices in Executive Compensation. Stay abreast of Proxy Advisors Policies (ISS & Glass Lewis). Understand Form 4 and 8K Proxy filing requirement for various situations.
- Maintain awareness of practices among competitors through proxy statements and other SEC filings
- Bachelor’s Degree or equivalent experience. Prior experience in executive compensation, including equity plan management, SEC filings (proxy, etc) and preparation of BoD and Compensation Committee materials.
Skills/Knowledge Required
- Use analytical rigor to interpret quantitative and qualitative information and be able to present complex data in a user-friendly format that convey research and findings
- Experience in Executive & Equity Compensation Plans for a multi-national corporation
- Global mindset and exposure to compensation plans outside of the US
- Strong business acumen including an understanding of business strategies, competitive challenges and the financial impact of HR decisions.
- Strategic thinking and decision-making skills, strong analytical and problem-solving skills, and a customer-focused mind-set are essential
- Ability to define problems, collect data, establish facts, and draw valid conclusions with effective solutions.
- Strong written, verbal and interpersonal skills in order to effectively communicate complex and technical information
- Strong MS Excel skills a must
- Ability to effectively manage confidential information
- Self-starter and willingness to “do whatever it takes
