Summary
Prologis is seeking a Stock Plan and Systems Specialist in our Denver, Colorado office. This flexible and skilled individual will provide support to the Stock Plan Administrator assisting with a variety of administrative services for the company’s global stock compensation plan including processing, reporting and reconciliation functions. This individual will also assist our Global Legal Systems Administrator with the company’s matter management and e-billing system, Serengeti Tracker (“Serengeti”), including for example, managing and coordinating invoicing through Serengeti with the company’s Accounts Payable Department and creating and generating Serengeti reports.
Responsibilities
* Assist and support the Stock Plan Administrator in the administration of the global stock plan program, including, but not limited to, the following: * Utilizing Equity Edge proprietary software to process stock plan transactions and complete file exchanges with outsourcing partner. * Utilizing Equity Edge software and Excel to report stock plan information and transactions to management, internal accounting, payroll and human resources departments, plan participants, outside consultants and service providers. * Reconciling stock plan records with records maintained by the company’s transfer agent and internal accounting and payroll departments. * Maintaining calendar of critical dates including release dates for stock awards, SEC filing dates, dividend payment dates and Board reporting dates. * Monitoring and responding to participant/employee inquiries and requests. * Maintaining stock plan administration files including certain employee records and legal documents. * Monitoring international tax laws and requirements associated with stock plan transactions. * Maintaining beneficial ownership records for Board of Directors and executive officers. * Preparing and filing Section 16 reports; assisting with proxy statement, Form 10-K and Form 10-Q preparation. * Assisting in researching and identifying stock plan issues and assisting in drafting meeting materials with respect to the global stock plan. * Administering Board of Directors’ fees (calculation and payment) and reporting to Board of Directors (quarterly reports and Forms 1099). * Administering the Insider Trading Policy, including communications with employees, brokers and outsourcing partners and maintaining records of trade clearances * Initiating, reconciling and monitoring share movements into and out of multiple reserves at transfer agent * Assisting with executive compensation matters. * Other duties as assigned * Assist and support the Chief Legal Officer’s office, including but not limited to the following: * Computing and processing Board quarterly compensation and equity holding statements. * Preparing quarterly compensation and equity holding statements. * Assisting with other board and governance-related matters. * Working closely with certain other administrative staff and cross-train on certain responsibilities to be able to support other group/personnel as required by staffing.
Ideal Candidate
**Essential Skills & Experience:** * Bachelor’s Degree from a four-year accredited college or university is preferred but not required. * Minimum two (2) years of experience in billing, accounting, payroll, financial analysis or stock plan. * Highly proficient with Microsoft Excel, proficient with Microsoft Word, Microsoft PowerPoint and Microsoft Outlook and ability to learn and use proprietary systems and databases. * Must be able to anticipate problems and issues and exercise independent judgment to make sound, justifiable decisions and take action in solving problems while knowing when and to whom to escalate issues. * Ability to maintain strict confidentiality and show tact, discretion, and good judgment in handling sensitive and confidential matters and documentation. * Exceptional interpersonal skills, a commitment to professionalism, integrity and collegiality. * Strong written and verbal communication skills. * Excellent attention to detail, ability to problem solve, take initiative, use common sense and work independently. * Must be efficient, self-directed, organized and diligent and able to work with minimal supervision. * Must be flexible in order to respond quickly and positively to shifting demands and opportunities. * Able to work under tight deadlines, handle multiple, detailed tasks simultaneously and prioritize appropriately. * Ability to interact with all levels of the organization, including upper management and the board of directors. * Ability to partner effectively with human resources, legal, IT, accounting and finance. departments as well as with outside vendors, legal counsel and consultants. * Must be a quick learner, able to follow instructions and accept constructive criticism to develop skills. * Can work extended hours as may be required. * Exhibit grace under pressure and be able to thrive in a fast-paced, fluid environment. **Nonessential Skills & Experience:** * Experience in stock plan administration and/or with Equity Edge software (or similar stock plan software) a plus, but not required. * Serengeti Tracker experience or other matter management or litigation support program experience a plus, but not required.
