Responsibilities
**Core Responsibilities:** - Responsible for preparing and filing of annual reports, affirmations, and other documents for the company as required by applicable state and federal regulatory organizations (including NYSE and SEC); quarterly and annual due diligence processes for gathering internal information needed for SEC filings (Forms 8-K, 10-Q and 10-K). - Supports the Corporate Secretary by helping to prepare, organize, and deliver materials for the Board and Board Committee meetings; and general subsidiary maintenance. - Responds to due diligence requests and coordinates drafting and preparation of exhibits for SEC filings. - Prepares and files beneficial ownership reports (on Forms 3, 4, and 5), as required under Section 16 of the Exchange Act. - Prepares and files board meeting minutes and consents for corporate subsidiary actions; serves as primary liaison to outside vendors (including transfer agent and financial printer). - Assists in the drafting, preparation and filing of applicable Securities Act documents (including shelf registration filings on Forms S-3 and S-4, prospectuses, and offering memoranda) in connection with public offerings, and/or private placements, of debt or equity. - Coordinates due diligence efforts for potential acquisitions and capital markets activity. - Responsible for the administration of the corporate subsidiary database application (CSC) and ensures the integrity of all data submitted into the databases including: verifying, updating, editing and auditing corporate entity information. - Responsible for the creation and administration of internal corporate due diligence database. Responsible for the administration of the electronic Board book application (Directors Desk). Prepares, maintains, and distributes vital corporate organizational reports. Independently develops and initiates value-added enhancements to the databases. - Responsible for recommending and implementing methods for streamlining departmental processes using computer-based technology. Prior eGovDirect (NYSE database), CSC and electronic board book experience is highly preferable. - General administrative and document management duties, as required.
Ideal Candidate
**Required Skills** Required: - Associates Degree - 10+ years in Corporate/Securities/Corporate Governance Legal Area - Must possess exceptional research skills **Preferred:** - BA/BS Degree - Paralegal Certification and Notary Public
