Summary
The Contract Management Specialist is responsible for the administration, review and analysis of contracts by assessing contract requirements, special provisions, and terms & conditions to ensure compliance with negotiated business terms, regulations, policies, and procedures. This position provides expertise in the management of contract change control, and develops negotiation strategies on contractual issues. This person will communicate across functions to resolve contract issues and disputes, and will assist in identification, development, and implementation of new contract policies and processes. Must demonstrate sound judgment in satisfactorily resolving contractual issues in accordance with VWR’s Delegation of Authority Standard, as well as external customer requirements.
Responsibilities
* Draft, review, revise, and manage form agreements for routine sales activities, as well as non-standard agreements for consulting, supplier, distributor, clinical and service agreements. * Understand VWR contracting policies and analyze draft contracts in accordance with policies. Escalate complex legal and factual issues to Corporate Counsel and assist in resolution of issues. * Assist in creating, implementing and managing systems that enable the efficient creation, negotiation, oversight and ultimately execution of the division’s agreements. * Maintain system to file, manage, and oversee contracts. Work with other contract managers and administrative assistants to maintain the contract request system and provide follow-up on contractual matters. * Coordinate with multiple cross-departmental functions regarding contract terms and assist in audits of contracts. Obtain all appropriate and necessary internal approvals for contract terms and provisions. * Identify opportunities for process improvements and to help ensure compliance with company and external rules. * Perform file management and records retention duties * Give and welcome constructive feedback; contribute to building a positive team spirit. *

* Must have working to expert knowledge of contracting concepts and terms * Strong ability to work cross-functionally within a large organization * Proven ability to design, present, and implement new concepts and ideas, procedures, organizational change, and key performance indicators * Excellent analytical and communication skills, as well as, good presentation, leadership and team-building skills * Strong workflow and process creation skills * Strong communication and organization skills * Excellent interpersonal skills * Able to prioritize and manage multiple projects * Good problem solving and conflict resolution skills * General knowledge and ability to use Microsoft Access * Working knowledge of database, design, Internet software as well as strong knowledge of Microsoft Office Suite including Word, Excel, Access and PowerPoint * Customer focused; performs duties with a sense of urgency **Qualifications:** * Education: Bachelor’s Degree (Required). Juris Doctor strongly preferred. * Certifications: Certified Commercial Contracts Manager (CCCM) or Certified Professional Contracts Manager (CPCM) - preferred but not required * At least 4 years experience as a contract manager or in another support professional role working on contract matters * Strong background/experience with contract preparation and/or review required * Experience in the life sciences industry preferred, including working with group purchasing organizations (GPOs), hospital systems and distributors * Experience in project management and execution on multi-departmental projects a plus * 3+ years experience within VWR or related industry experience **Environmental Working Conditions & Physical Effort:** * Typically works in an office environment with adequate lighting and ventilation and a normal range of temperature and noise level. * Work assignments are diversified. Examples of past precedent are used to resolve work problems. New alternatives may be developed to resolve problems. * A frequent volume of work and deadlines impose strain on routine basis. * Minimal physical effort is required. Work is mostly sedentary but does require walking, standing, bending, reaching, lifting or carrying objects that typically weigh less than 10 lbs.
