Summary
The successful candidate for this Associate Principal Counsel position will primarily support the Retail and Publishing businesses of Disney Consumer Products and Interactive Media with an emphasis on e-commerce, content acquisition and digital publishing. In that capacity, the candidate will draft and negotiate agreements relating to the support of these businesses, assist in the procurement of services and technology and provide legal advice on various laws and regulations applicable to these businesses.
Responsibilities
* Negotiate and draft a spectrum of digital technology and new media vendor agreements related to software as a service (SAAS), mobile and web development and maintenance, digital and social media marketing initiatives and promotions, software licensing, hosting, content production and e-commerce. * Negotiate and draft complex content agreements including publishing acquisition deals, print and distribution agreements (including e-book distribution), audio production, publisher and author agreements. * Advise business executives and managers on privacy, security, regulatory, intellectual property, and risk management matters affecting e-commerce and digital products and services. * Advise business teams on rules and regulatory requirements for marketing promotions and contest and sweepstakes initiatives. * Counsel business teams on compliance with laws and regulations including COPPA, FTC endorsement and native advertising guidelines, the EU Data Protection Directive and the Digital Millennium Copyright Act (DMCA). * Perform such other responsibilities as may be deemed necessary in support of the Disney Consumer Products and Interactive Media legal team.
Ideal Candidate
* Minimum of seven (7) years’ experience negotiating and drafting contracts for a law firm advising major corporate clients and/or corporate legal department, preferably specializing in e-commerce, interactive technology, content acquisition or publishing and social media related matters; * Ability to identify and analyze complex issues and devise solutions and strategies; * Excellent written and verbal communication skills; * Strong drafting, negotiating and writing skills, as well as the ability to problem solve in an efficient, business-friendly, creative manner; * An excellent work ethic and commitment to professionalism and excellent attention to detail; * Strong interpersonal skills with all levels of co-workers both internal and external; * Must be willing to take ownership of projects and think proactively; * Ability to handle a high volume of work and work through projects with minimal supervision; * Superior organizational skills with the ability to multi-task, prioritize workload efficiently and effectively; and * Strong computer skills, including proficiency with Microsoft Word and PowerPoint (or Keynote). **Required Education** * Law degree from a top-tier, accredited law school required; * Membership in the California Bar or willingness and qualification to be Registered In-House Counsel required.
