Summary
The position requires an exceptionally accomplished mid-level lawyer with a distinguished professional record, strong business orientation, a creative and problem solving mindset and strategic agility. The ideal candidate will be a corporate generalist who has occupied a mid-level legal advisor role in a high tech corporation with a global footprint. Prior law firm experience strongly preferred. The successful candidate must have exemplary ethics and integrity, solid judgment and business acumen, and the ability to partner with and support the business to achieve key goals. Ideally the candidate will have public company or IPO experience. The Corporate Counsel will report to the Chief Legal Officer.
Responsibilities
* Provide common sense, risk based legal advice and solutions regarding issues and risks in a high-growth, extremely dynamic environment. * Advise on business transactions, including the preparation, review and negotiation of agreements in a variety of areas. * Negotiate and draft master subscription agreements, professional services agreements and a variety of other agreements. * Provide legal counsel and support in business development activities, including conducting due diligence. * Partner with the business, real-time, on various projects and serve as legal negotiator on legal aspects of customer, partner and other transactions.
Ideal Candidate
* Juris Doctorate (J.D.) & in good standing with the TX, CA or NY Bar * 4-7 years legal experience, and strong academic credentials * Counseling pre-IPO and public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters preferred. * Experience in a major law firm and/or in-house legal department, with a focus on a broad range of SEC filings (including 10-Ks, 10-Qs, 8-Ks and proxy statements) preferred. * Stellar communication skills, including the ability to engage efficiently with internal business partners, to negotiate with external parties effectively and the ability to draft clear and concise correspondence and documents. * Exceptional attention to detail and quality control. * Ability to efficiently manage multiple projects, to organize, prioritize, and reorder workload efficiently in a dynamic environment. * Ability to work both independently and as part of a team. * Flexible thinker with the ability to make sound independent decisions. * Basic knowledge and ability to provide common sense advice on a variety of legal areas, including corporate, employment, privacy and cybersecurity, contract management, intellectual property, etc.
