Legal Counsel

We are looking for a Legal Counsel who can help manage the day-to-day legal needs of a global company. This is an ideal position for an attorney who thrives in a fast-paced, dynamic, and entrepreneurial work environment, and has a passion for software licensing and cloud based applications.

* Provide counsel to business teams on a broad range of initiatives, including corporate transactions and strategic partnerships; * Negotiate and draft a wide variety of agreements, including software licenses (as vendor and customer), related services agreements, contracts related to marketing activities such as digital advertising and lead generation agreements, real estate leases and vendor agreements; * Implement and oversee corporate governance and compliance programs; * Participate in various industry compliance efforts, including those related to privacy and data security * Advise on employment matters, including drafting employment agreements and incentive compensation plans; * Assist on litigation matters, as necessary; * Manage outside counsel, including foreign counsel, to support global operations; * Assist with public company filings and litigation matters, as necessary

* JD with 4-6 years’ relevant experience, split between law firm and in-house counsel, admitted to practice in New York * Significant contract negotiation and drafting experience * Commercially-oriented with excellent business judgment * Strong interpersonal and communication skills * Ability to function independently with little oversight * Ability to work in a fast-paced, dynamic environment and manage multiple projects * Interest in emerging digital technologies, business intelligence software and cloud based offerings * Experience with software license agreements from a vendor perspective a plus * SEC, S-1, 10Ks and 10Qs a plus
