As part of the legal team supporting our Global, Sales, Marketing, and Customer Experience (GSMCE) group, You will be responsible for a broad range of functions centered around Negotiating & Drafting Sales Licensing Agreements. You will work independently to address questions around copywrite, licensing agreements, and deal structure to find the most equitable solutions for ProQuest and it's clients. Part of your day-to-day will invovle responding to internal customer inquiries and addressing the concerns of various stakeholders.

* Draft documents such as license agreements, end user licenses, NDAs, contract terminations, renewals. * Escalate issues/questions from internal and external customers to Sr. Corporate Counsel * Review customer concerns and respond accordingly * Meet with sales and business groups to resolve outstanding issues and close contracts. * Provide due diligence support for M&A activity. * Enforce company’s contract execution policy and procedures.

**To be successful, you must Have…** * Bachelor’s Degree plus 2 or more years’ experience as a legal assistant and/or paralegal, working with legal documents, contracts, or other formal documents which require a basic understanding of contract law, intellectual property law and/or licensing. * Paralegal certificate from an accredited institution with classroom experience. * Strong document drafting and proofreading skills; attention to detail. **You might also have…** * Prior experience with US government contracting (e.g., FAR). * Work towards a law degree * Familiarity with ProQuest products.
