Summary
We are looking to expand our small, but mighty legal team with a highly motivated, experienced Counsel. At OSIsoft, you will have the opportunity to work cross functionally and across regions to embed yourself within the business and make a lasting impact. The Counsel will be trusted advisor who is customer service oriented, has an eagerness to tackle a wide range of legal and business issues and the ability to balance legal risks with business objectives and successfully get deals closed in a timely manner and, all with a positive attitude.
Responsibilities
* Become an integral part of a cross disciplined team * Handle the review, drafting and negotiation of a wide variety of contracts, including but not limited to software license agreements, enterprise agreements, vendor agreements, NDA’s, CDA’s, OEM, marketing, facilities, service agreements and other strategic agreements, as needed. * Support the continuous improvement of standard form agreements and legal processes. * Attend Sales and Marketing meetings and advise management on recommended courses of action and legal risks. * Summarize and communicate legal concepts to management and employees in the field. * Participate in developing training materials on legal processes and strategies to provide to Sales Representative. * Work on special projects as requested.

**Qualifications:** * You are a true generalist who enjoys picking up new skills in different practice areas * You have a commitment to excellent client service * You are a self-starter who has the ability to work independently and manage many simultaneous projects under deadline pressure * You have excellent verbal and written communication skills and the ability to communicate effectively with a broad audience, including business, legal and highly specialized technical individuals * You have a strong attention to detail * You are a member in good standing of the State Bar of California, or eligible to practice as a California registered in-house attorney. * You have 5-7 years combined relevant of transactional experience in a law firm and/or in-house legal department, preferably working with software * You have an interest in technology **Nice to Haves:** * Technical background * Some data privacy knowledge
