Summary
ORIX USA Corporation is seeking a Senior Paralegal, Corporate/M&A in our Dallas, Texas headquarters. The successful candidate will play a key role in the Corporate/M&A practice group of the ORIX USA Legal Department and be responsible for supporting all corporate and M&A related matters of ORIX USA Corporation, its U.S. and foreign affiliates, and its ultimate parent, ORIX Corporation (Tokyo: 8591 and NYSE: IX).
Responsibilities
* Exemplify the Corporate/M&A practice group tenets of (1) simplicity, (2) responsiveness, (3) mindfulness, and (4) execution; live and work within the bounds of ORIX USA’s Values * Manage various corporate maintenance matters, including overseeing all aspects of administering 350+ legal entities, including (1) formations and dissolutions, foreign and domestic, (2) annual reporting, (3) drafting officer and director appointments, (4) maintaining minute books and other corporate records, and (5) maintaining the Master ORIX USA Group organizational chart * Manage the legal department’s implementation of a comprehensive corporate governance and entity management software solution * Track all governmental licenses of ORIX USA Group entities * Write, edit and proofread various M&A and corporate-related documents, including purchase and sale agreements, closing/secretary certificates, board resolutions, and confidentiality agreements * Assist the legal team throughout the M&A process, including due diligence, managing outside counsel, and closings * Drive post-transaction related matters, including integration matters * Implement various corporate policies, initiatives and/or programs * Maintain good relationships with senior leaders, team members, and other employees as well as external clients and others doing business with ORIX USA * Provide periodic reports on numerous matters to ORIX entities on a global basis; liaise and standardize processes with corporate paralegals of various operating subsidiaries of ORIX USA Group * Maintain legal files and handle document requests * Assist with administrative functions such as making copies, mailing documents, filing, etc. * Other projects and duties as assigned
Ideal Candidate
**Contacts** This position h as frequent contact with all levels of employees and management. In addition, this role may interact with outside business partners, vendors, consultants, and other office visitors. * Bachelor’s degree and/or paralegal certificate from an ABA approved paralegal program, or a Bachelor’s degree in Legal Studies or related field * Minimum of 10 years transactional paralegal experience specifically focused on corporate law and/or M&A in a national law firm or in a corporate law department * High proficiency in Microsoft Office products, specifically Outlook, Word, Excel, PowerPoint * Demonstrate a positive attitude and consistent temperament, and adhere to the highest standard of ethics and professional behavior * Ability to work professionally and harmoniously with teams and coworkers, and fulfill all essential duties and responsibilities * Highly organized, deadline driven with extreme attention to detail; an inherent desire to constantly improve processes * Ability to work with minimal direction, learn quickly and independently * Excellent communication and interpersonal skills with individuals at all levels of an organization * Ability to maintain confidentiality and to use discretion in the performance of daily activities * Motivated, efficient, and organized; able to manage multiple projects at a time in a fast-paced environment, both collaborating as a team and working independently to get the job done; flexibility and ability to work under pressure with tight deadlines and constant interruptions.
