Responsibilities
The Commercial Counsel will serve as the "point person" for a range of legal matters relating to NantMobile (an operating company of NantWorks). Primary responsibilities will include drafting, negotiating and advising the business team on commercial and contractual matters, including inbound and outbound license and service agreements, partnership/collaboration agreements, terms of service agreements and privacy policies. Collaborative partner to the COO tasked to work with a high functioning team capable of supporting multiple business segments, product portfolios, functional leaders, and geographic office locations with timely and accurate financial reporting. **Essential Job Functions:** - Review marketing and promotional materials and product guidelines for compliance with company policies and applicable laws. - Advise or assist on general corporate, intellectual property, employment and litigation matters through coordination with the NantWorks legal department and outside counsel. - Liaises with corporate legal and oversees all activities with regards to contracts, licensing, IP, trademarks, etc. for NantMobile - Establish and maintain systems and controls that verify the integrity of all our systems, and tracks all our contractual obligations and 3rd party breach of NantMobile (NantWorks related) technology or contracts. - Includes hands-on legal work relating to API-based platform offerings, technology development and commercialization partnerships, consumer mobile applications and digital content distribution. With a working knowledge of mobile advertising and a familiarity with privacy and data protection requirements in U.S. and Europe, the Counsel will work to ensure compliance by NantMobile. - Respond to COO as assigned with accurate and timely work to facilitate his legal needs. - Participate in a wide variety of special projects and compile a variety of special reports. - Communicate with co-workers, management, clients and others in a courteous and professional manner. - Conform with and abide by all regulations, policies, work procedures and instructions
Ideal Candidate
**Education/Experience Requirements:** - JD with a strong academic record. - Admitted to the Bar of at least one state and eligible for admission to the California Bar as in-house counsel. - 7+ years advising clients on complex commercial transactions. - Preference to those with 2 years of in-house legal department experience - Excellent negotiation and drafting skills - Strong organizational skills and the ability to manage simultaneous projects under short deadlines - Ability to work comfortably in a fast-paced environment and to communicate and present complex issues at all levels of the organization **Required Competencies-Knowledge, Skills, Abilities:** - Technical Capacity - Ethical Conduct - Communication Proficiency - Personal Effectiveness/Credibility

Working Conditions

Role uses office equipment like: computers, phones, photocopiers, filing cabinets and fax machines. This is a sedentary role; but, some filing is required. This requires the ability to lift files, open filing cabinets and bend or stand as necessary.
