Summary
Assist the General Counsel with maintaining corporate governance documents, reviewing contracts and tracking contract compliance (including leases), performing legal research as needed, otherwise supporting legal team of four individuals.
Responsibilities
* Prepare, maintain and organize corporate governance documents, including minute books, resolutions, and written actions for all LCA/JMC entities. Includes synopses of permissions and authorities bestowed by such documents. * Review vendor contracts for key terms; alert General Counsel to problematic provisions; coordinate communication/negotiation between General Counsel and vendor. Organize contract drafts and fully-executed version for easy access, and track key terms for compliance. * Coordinate Open Access Program, including maintenance and preparation of contract templates, confirming pricing with Accounting and appropriate time with Patient Access; track and ensure contract compliance. Maintain log of all active Open Access surgeons. * Assist with maintaining and executing corporate compliance program, including researching, preparing and performing trainings on topics like HIPAA. * Research state and federal statutes and regulations, including state medical board rules, in order to ensure compliance on topics such as advertising, referrals, co-management, etc. * Providing basic clerical support to Legal/Risk Department as necessary.
